We're seeking a proactive individual to join our team and ensure our company remains compliant with statutory and regulatory requirements. This is a full-time on-site role for a Company Secretary at Clensta, located in Gurugram. The Company Secretary will be responsible for day-to-day administrative tasks, maintaining legal and statutory records, facilitating board meetings and general meetings, ensuring compliance with company laws and regulations, and providing support for corporate governance.


Experience : 2-4 years of experience as a Company Secretary or similar role.

Responsibilities:

  • Ensure compliance with relevant laws and regulations, including the Companies Act, RBI Regulations, and other Regulations.
  • Manage all aspects of board, committee, and shareholder meetings, including preparation of agendas, minutes, and action taken reports.
  • Handle statutory filings, compliance, and maintenance of statutory records.
  • Liaise with regulators, industry associations, legal counsels, and government departments.
  • Coordinate with auditors to ensure compliance.
  • Keep management informed about amendments to laws and regulations.


Qualifications

  • Experience as a Company Secretary or similar role.
  • Knowledge of corporate laws and regulations.
  • Strong organizational and time-management skills.
  • Excellent communication and interpersonal skills.
  • Attention to detail and accuracy.
  • Ability to handle sensitive and confidential information.
  • Proficiency in MS Office and relevant software.
  • Bachelor's degree in Law, Business Administration, or related field.
  • Additional certifications or memberships with professional bodies (e.g., ICSI) would be beneficial.
