The Procurement Manager will be responsible for overseeing and managing the company’s procurement activities with a keen focus on the legal aspects of vendor contracts. The ideal candidate will be a law graduate with substantial expertise in contract law, ensuring that all vendor agreements adhere to company standards and regulatory requirements. The Procurement Manager will report to the Head of Procurement and work closely with internal legal, procurement teams and with vendors to ensure compliance, contractual risk mitigation and quality Key Responsibilities : Lead the review and negotiation of procurement contracts from a legal perspective to safeguard the company’s interests. This includes drafting, reviewing, and amending contracts to ensure they are legally sound and beneficial to the company. The candidate will also be responsible for ensuring that all contracts are properly executed and stored for future reference. Collaborate with the legal and procurement teams to ensure all vendor contracts are compliant with company policies and legal standards. This includes staying updated with changes in laws and regulations that may affect the company’s procurement activities. The candidate will also be responsible to coordinate with internal/external audit teams to ensure procurement process compliance. Oversee the management of IT contracts across services, software, and infrastructure. This includes reviewing and negotiating terms for software licenses, service level agreements (SLAs), hardware purchase and lease agreements, and cloud service contracts. Draft/negotiate non-IT service agreements such as facilities management contracts, consulting agreements, and outsourcing contracts. Ensure these agreements are legally sound and meet the company’s operational requirements. Understand and manage the hierarchy of contracts within the organization. This includes distinguishing between master agreements, schedules, orders, and amendments. Ensure that all contractual documents are properly linked and stored for easy reference. Have a thorough understanding of different types of agreements such as Master Services Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), and End User License Agreements (EULAs). Ensure that the appropriate type of agreement is used for each vendor relationship. Manage relationships with vendors, addressing any legal concerns and compliance issues that may arise. This includes conducting regular meetings with vendors to discuss contract terms and resolve any disputes. Ensure all contracts are compliant with company policies, legal standards, and regulatory requirements. This includes compliance with data protection laws for IT contracts. Conduct risk assessments for IT and non-IT contracts. Identify potential legal and operational risks and propose mitigation strategies. This includes assessing risks related to data security, intellectual property, and service delivery. Assist in the development and implementation of procurement policies and procedures with a focus on legal compliance. This includes providing legal advice to the procurement team and training them on legal aspects of procurement. The candidate will also be responsible for ensuring that all procurement activities are conducted in accordance with these policies and procedures. Coordinate and supervise the procurement team, providing guidance, training, and feedback. Requirements: Bachelor's/Master’s degree in law Minimum 5 years of experience in procurement, contract management, or related field, preferably in a large and complex organization. Substantial legal/contractual law expertise, with proven ability to review, redline, and negotiate vendor contracts across different scale of suppliers and categories. Excellent negotiation, communication, and interpersonal skills, with the ability to build and maintain positive and collaborative relationships. Highly analytical, detail-oriented, and problem-solving skills, with the ability to make sound decisions and recommendations. Proficient in Microsoft Office and procurement software and tools. Ability to work independently and as part of a team, and to manage multiple projects and priorities effectively.
